Most guidance on Cybersecurity Maturity Model Certification (CMMC) third-party assessment organizations tells you what they are and how to pick one. Far less explains what happens inside the engagement once you've signed.

That matters, because a [CMMC Third-Party Assessment Organization](https://www.motherbearsecurity.com/blog/what-is-a-c3pao) (C3PAO) isn't free to run an engagement however it prefers. The CMMC Assessment Process defines the phases, team composition, and constraints the assessor works within, regardless of their house style.

For Department of Defense (DoD) contractors in the Defense Industrial Base (DIB), knowing those rules is practical rather than academic.

Knowing those rules changes how you prepare. It tells you who you'll actually be talking to, what each phase produces, and which questions the assessment team is forbidden from answering.

This guide covers the assessment team structure, the four formal phases, and the independence rules that shape every interaction.

## **TL;DR**

- A CMMC third-party assessment organization runs Level 2 certification assessments for the CMMC program, following a defined process rather than its own methodology. Only an authorized or accredited C3PAO can conduct a Level 2 certification assessment and issue the resulting Level 2 Certificate of CMMC Status.
- The assessment team has a formal structure: a Lead CMMC Certified Assessor (CCA), the credentialed assessor who manages the team on the C3PAO's behalf, plus assessment team members.
- The [CMMC Assessment](https://www.motherbearsecurity.com/blog/cmmc-assessment-guide) Process organizes the work into four phases, preceded by preliminary proceedings covering entity confirmation, scope framing, and conflict management.
- During the pre-assessment readiness determination, the assessment team cannot speculate about whether an organization is likely to pass or receive a Certificate of CMMC Status.
- [MotherBear](https://www.motherbearsecurity.com/schedule-demo) helps defense contractors prepare, then connects them with C3PAOs the team trusts.

## **What CMMC Third-Party Assessment Organizations Do Under CMMC 2.0**

A CMMC Third-Party Assessment Organization is also written as a Certified Third-Party Assessment Organization in much industry material.

The Cyber AB authorizes it to conduct Level 2 certification assessments for organizations seeking Level 2 CMMC status for systems that process, store, or transmit [Controlled Unclassified Information](https://www.motherbearsecurity.com/blog/what-is-cui) (CUI).

[Federal Contract Information](https://www.motherbearsecurity.com/blog/what-is-fci) (FCI) alone maps to Level 1, which is a self-assessment rather than a C3PAO engagement.

The work matters because CUI carries national security weight. It holds a defined place in the CMMC ecosystem rather than operating as a general consultancy.

The key word is *authorized*.

C3PAO authorization involves several checks. Personnel involved in Level 2 certification activities must meet Tier 3 background-investigation requirements.

The prospective C3PAO also undergoes a Foreign Ownership, Control, or Influence risk assessment, and DIBCAC assesses its applicable environment.

The Cyber AB is the current public name of the organization serving as the CMMC Accreditation Body. Its marketplace is the authoritative place to verify a C3PAO's current authorization or accreditation status, rather than trusting a proven track record claimed on a website.

That constraint runs deeper than most contractors expect. The C3PAO follows a published assessment process, composes its team under specific rules, uploads the assessment results into CMMC eMASS, and issues the resulting Certificate of CMMC Status when the assessment supports one.

### **2026 Update to C3PAOs**

One current note. [CMMC Phase II was suspended](https://business.defense.gov/Engage/News/Article/4542563/forging-the-arsenal-of-freedom-department-of-war-suspends-cmmc-phase-ii-require/) in July 2026. During the suspension, program managers and requiring activities may designate only Level 1 (Self) or Level 2 (Self) as the required CMMC assessment type in applicable procurements.

Voluntary Level 2 certification assessments through C3PAOs remain available, and the process below is unchanged. Organizations that self-assess today follow the same requirements a C3PAO would examine, so preparation carries over when a contract requires that assessment type again.

## **Who Is on a CMMC Assessment Team and Their Critical Role**

The people who show up matter more than the firm's logo, and the roles are defined rather than improvised.

### **The Lead CCA**

The Lead CCA oversees and manages a dedicated assessment team on the C3PAO's behalf, and must satisfy the requirements at [32 CFR §170.4(b)(11)](https://www.ecfr.gov/current/title-32/subtitle-A/chapter-I/subchapter-G/part-170).

This is your primary counterpart. The Lead CCA supervises the planning phase, determines whether your organization is ready to proceed, assigns roles to team members, and produces the findings briefing at the end.

One detail worth knowing for scheduling: a Lead CCA may oversee multiple assessment teams running concurrently. Their attention is a real constraint, and it's a fair question to ask during selection.

### **Assessment Team Members**

Assessment team members are the individuals who make up the C3PAO assessment team, and the C3PAO composes that team under defined rules rather than by availability alone.

Two constraints shape who can serve. The C3PAO must mitigate or avoid conflicts of interest between team members and your organization. Team composition must also meet the impartiality requirements in ISO/IEC 17020, the standard governing inspection bodies.

Members who can't attend the opening meeting still get named. The Lead CCA has to inform you of their identity and arrange an introduction later, so you're never assessed by someone you haven't been told about.

The C3PAO may also include observers outside the assessment team. Ask who they are and why they're present, since that's a reasonable thing to understand before fieldwork starts.

### **Your Side of the Table**

The Affirming Official is the Lead CCA's formal counterpart. At the same time, the Organization Seeking Certification (OSC) Point of Contact (POC) handles day-to-day coordination between your organization and the assessment team.

Your control owners matter during Phase 2, because assessors interview the people who actually operate the controls. The practical job is making sure those people are available and can explain what they do.

## **The Four Phases of the CMMC Assessment Process and Certification Process**

The assessment process is organized into four phases, preceded by preliminary proceedings. Knowing what each produces tells you where your preparation effort pays off.

### **Preliminary Proceedings**

Before Phase 1 begins, both sides handle entity confirmation, scope framing, conflict management, and contracting. This pre-assessment stage is separate from any readiness assessments or gap assessment work your consulting services provider ran earlier.

This is where the relationship gets defined rather than where the assessment starts. Scope disagreements surfaced here cost far less than scope disagreements surfaced during fieldwork.

### **Phase 1: Conduct the Pre-Assessment**

The Lead CCA validates your CMMC assessment scope, reviews the System Security Plan (SSP), composes the assessment team, establishes evaluation methods, and uploads the pre-assessment form into CMMC eMASS.

The critical moment is the readiness determination. The Lead CCA decides whether your organization is ready to proceed, and a negative determination here is cheaper than a failed assessment later.

The phase closes when the pre-assessment form is successfully uploaded into CMMC eMASS.

### **Phase 2: Assess Conformity to Security Requirements**

Phase 2 begins with the In-Brief Meeting, where the Lead CCA confirms the scope, assessment procedures, roles, responsibilities, and schedule before evaluative work starts.

From there, it becomes the heart of the engagement, where the team verifies implementation of the applicable Level 2 security requirements.

The methods are examination, interview, and test. The assessment involves reviewing documentation, interviewing the people who operate security controls, and observing live tests or demonstrations that the Lead CCA schedules.

The SSP is a key reference, but the assessment ultimately tests whether each security requirement and its assessment objectives are met in practice.

Each requirement is evaluated against its assessment objectives and scored MET, NOT MET, or NOT APPLICABLE. The practices required at your level define that list, and the compliance requirements don't flex to suit your environment.

### **Phase 3: Complete and Report Assessment Results**

The Lead CCA produces the findings briefing and final report, delivers the results to the OSC, and the C3PAO completes its quality review before uploading the results.

The C3PAO uploads the certification assessment results into CMMC eMASS, which automatically transmits the CMMC status information to the Supplier Performance Risk System (SPRS).

If you already have an SPRS score from a self-assessment, don't confuse that score with the Level 2 certification status the C3PAO assessment produces.

Where open items qualify, the Lead CCA validates any Plan of Action and Milestones (POA&M) against the eligibility criteria rather than accepting whatever you propose.

### **Phase 4: Issue Certificate and Closeout POA&M**

The final phase issues the applicable Certificate of CMMC Status and, where Conditional status applies, handles POA&M closeout within the permitted window.

A closeout assessment is its own event. Budget for it rather than assuming Conditional status resolves itself.

After the certificate, continued compliance runs on the annual affirmation cycle, which carries False Claims Act exposure for knowingly false representations. Level 1 follows a different assessment cadence, with an annual self-assessment and required affirmation.

[Continuous monitoring](https://www.motherbearsecurity.com/blog/continuous-monitoring-for-cmmc-compliance) between assessments keeps that affirmation defensible, and teams that maintain compliance year-round face a much shorter path at renewal.

## **CMMC Ecosystem Rules That Constrain a CMMC Third-Party Assessment**

Several constraints explain assessor behavior that otherwise seems unhelpful, and understanding them makes the engagement easier.

- **No speculation at the readiness determination:** During the pre-assessment, the team cannot intimate or predict whether you're likely to pass. An assessor who won't forecast your outcome is following the process, not being difficult.
- **Independence from preparation work:** A CMMC ecosystem member that served as a consultant preparing your organization for a CMMC assessment within the previous three years can't participate in that Level 2 certification assessment.
- **No advisory role during the assessment:** The C3PAO evaluates rather than advises. They can tell you a requirement is NOT MET; designing the fix isn't their job.
- **Conflict-of-interest management at team level:** The constraint applies to individual assessors, not just the firm, which is why team composition takes time.

Those rules exist to make the result meaningful. A certificate from an assessor who helped build the program would prove very little.

The key takeaways are simple: the assessor evaluates rather than advises, independence is structural rather than optional, and the pre-assessment readiness determination isn't a place for outcome predictions.

## **What the Process Means for Your CMMC Compliance Preparation**

Working backward from the phases tells you where effort actually pays.

Scope and SSP quality determine Phase 1. The Lead CCA validates both before anything else happens, so a scope you can't defend or an SSP that doesn't match the environment stalls the engagement at the start.

Evidence organization determines Phase 2. Assessors work at the assessment objective level, so artifacts that map to objectives move faster than a folder of files someone has to interpret.

Control owner availability determines interview quality. The assessment team talks to the people who operate controls, and a control owner who can't describe their own process undermines documentation that reads perfectly.

None of that is about impressing the assessor. It's about removing the friction that turns a scheduled assessment into an extended one.

Those are the key considerations worth planning around. Your [CMMC compliance](https://www.motherbearsecurity.com/blog/what-is-cmmc-compliance) posture is also what a contracting officer and your primes elsewhere in the DoD supply chain will ask about.

## **Prepare for a C3PAO Assessment With MotherBear**

Preparing for a C3PAO assessment means keeping requirements, documentation, evidence, remediation work, and assessment scope organized before the engagement begins.

![MotherBear](https://www.motherbearsecurity.com/hs-fs/hubfs/undefined-Nov-05-2026-01-54-17-5540-PM.png?width=2048&height=834&name=undefined-Nov-05-2026-01-54-17-5540-PM.png)

[MotherBear](https://www.motherbearsecurity.com/) gives defense contractors and consultants one workspace to:

- Track CMMC requirements against [NIST SP 800-171](https://www.motherbearsecurity.com/blog/what-is-nist-800-171)
- Connect evidence to the requirements it supports
- Manage SSP and policy documentation
- Assign remediation work to the right owners at the applicable [CMMC level](https://www.motherbearsecurity.com/blog/cmmc-levels)

That gives teams a clearer picture of assessment readiness and makes it easier to produce the information a C3PAO needs without rebuilding the program from spreadsheets and shared drives.

## **FAQs About CMMC Third-Party Assessment Organizations**

### **Who can conduct a Level 3 CMMC assessment?**

Level 3 assessments are conducted by DIBCAC, not by a C3PAO. A DIBCAC assessment is the government-led assessment path for Level 3, and it produces the official certification at that level.

A C3PAO's role at Level 3 is indirect but necessary, since an organization must hold Final Level 2 status covering the Level 3 assessment scope before DIBCAC can begin.

### **Where can I find a list of C3PAOs?**

The Cyber AB marketplace is the authoritative source. It lists authorized organizations and their accreditation status, which you should verify rather than relying on a vendor's claim.

Listing confirms authorization, not fit. A current listing tells you an organization can legally assess you; it says nothing about backlog, industry experience, or whether their team understands your contract type.

### **How much does the C3PAO assessment cost?**

A Level 2 certification assessment commonly runs $30,000 to $100,000 or more, depending on scope size, number of locations, evidence quality, and assessment model.

The assessor's fee is only part of the total. Readiness work, remediation, and tooling frequently exceed the invoice, and a low bid sometimes just moves cost into remediation.

### **What is a third-party assessment?**

A third-party assessment is an evaluation performed by an independent organization rather than by the organization being assessed. In CMMC, it means a C3PAO independently evaluates implementation rather than the contractor conducting its own self-assessment.

The independence is the point. A self-assessment and a third-party assessment can examine the same requirements, but only one carries an external judgment about whether the evidence supports the claim.

### **Is a C3PAO the same as a 3PAO?**

No. A C3PAO assesses [defense contractors](https://www.motherbearsecurity.com/blog/cmmc-for-defense-contractors) under CMMC, while a 3PAO assesses cloud service offerings under the Federal Risk and Authorization Management Program. Different programs, different authorizing bodies, different audit objects.
